Gilbarco Inc. and DataMax Consulting Corporation Announce Strategic Partnership
Deal includes sale of Gilbarco's Back Office/Home Office assets.
Greensboro, NC- February 7, 2003 - Gilbarco Inc. and DataMax Consulting
Corporation announce a strategic partnership. As part of the agreement,
DataMax will purchase all assets related to Gilbarco's Retail
Management Solutions (RMS) Division.
Gilbarco's RMS Division markets industry-leading Back Office and
Home Office software products for both single-site (TSW!) and
multi-site (Envoy) convenience store markets. The BOS/HOS products will
compliment DataMax's wide variety of custom services, such as retail
technology and business consulting services, engineering services,
rollout management, hardware procurement, staging and deployment.

In addition to the RMS purchase agreement, DataMax will enter into a
VAR relationship for the sale and distribution of Gilbarco's
point-of-sale products. "This will enable Gilbarco customers to
continue to enjoy the value of an end-to-end solutions provider for
both their point-of-sale and back office software needs," said David
Kaehler, President Gilbarco North America.
Gilbarco and DataMax will work jointly with customers to ensure a
smooth transition of the Retail Management Solutions Division. Under
the new structure the TSW! and Envoy products will continue to be
developed and enhanced. In the next few weeks, the new Windows version
of TSW! (StoreWorks!) will be released, and on April 1st, the next
generation of Envoy (Version 4.0) will be available for general release.
DataMax will continue to operate the consulting services company out
of Round Rock, TX and the RMS business out of the four existing RMS
locations - Los Angeles, Montreal, Miami and Bangkok.
The sale was effective January 31, 2003. The price of the transaction was not disclosed.
